A world leading energy company is looking for: Sr. Legal Counselor
Responsibilities:
- Formulate and implement the plan for the legal department in order to support the expected growth of the business
- Expand and lead the international legal team of the company
- Set up standardized contract(s) for the operational aspects of the business, procurement, sales, employment etc.
- Establish effective policies and procedures to minimize and control risk exposure of the firm in running its businesses
- Increase the awareness of compliance, legal implication and risk control among senior management
- Act as business partner to Dr. Shi and the other senior management members
- Interpret and articulate the legal situation in where the firm operate, and put this into the context of the short and long term business strategy of the company
- Provide legal support on corporate development initiative such as deal structuring, negotiation in situation such as M&A and the establishment of newly sales offices or manufacturing facilities.
- Review major commercial contracts of the company to ensure interest of the company is protected.
- Handle and review IP matters in order to protect the company interest
- Handle negotiation / legal action / litigation involving the company
- Leverage the other resources of the firm to ensure public relations and interface with the Chinese government is handled appropriately
- Ensure that the company is fulfilling the reporting requirement of the US regulatory authority
- Manage and control the legal budget and making the business decision on nature and amount of legal work to be outsourced.
Requirements:
- Must have 10 to 15 years progressive experience in legal field and has at least 2-3 years of experiences in an in-house legal counsel position
- Must understand both the Chinese and International law; knowledge of US SEC regulation is an advantage
- Track record in setting up, expanding, or managing an in-house legal team is critical
- Capable of handling corporate transactions and capital market transactions
- Must be an outstanding communicator in both Mandarin and English
- China experience and strong understanding of cultural sensitivity is important
- Must be a results-oriented team player and a solutions creator
- Exhibit high standards of integrity and have a very strong core belief in doing the right thing n- matter what, being resilient and perseverant in ensuring that integrity is maintained at the highest level
- Demonstrate leadership in growing, coaching and mentoring the legal team
- Proficiency in Mandarin and English is required
- Although a US JD is not mandatory, formal non-China training would be preferred (e.g. LLM degree) or experience working in US / multinational firm.
