Position Background:
This position will be based in Jiangsu Province and directly report to the CFO of the Company. The compensation package of this position is very competitive and also can be negotiable.
Customer Background:
Our customer is a large-sized PV manufacturing company and its holding company is listing in NYSE now. Both the factory and head office of our customer are located in Jiangsu Province.
Job Responsibilities:
Oversee the entire range of legal services provided to the company, in such areas as securities, commercial, litigation, employment, environmental, intellectual property, and M&A.
Board Meetings and Committees - act as Board Secretary as well as executive contact for the Governance Committee. Ensure proper transparency and disclosure and the integrity of company information according to SEC guidelines. Foster best practices of corporate governance.
Manage all aspects of public securities compliance, including legal oversight of periodic filings, shareholder and investor communications and related securities matters.
Counsel business leaders of the company in all aspects of day to day corporate and business transactions, including reviewing and drafting contracts and other documentation.
Provide rigorous analysis to ensure risks and benefits are appropriately balanced to move the company forward in a prudent, productive and aggressive fashion.
Act as the lead counsel on M&A deals.
Manage and direct legal transactions to accomplish strategic and financial goals of the company.
Provide leadership to establish company practices and policies, leveraging your knowledge of relevant law and regulations for public companies.
Oversee intellectual property protection and ownership, and stock trading activities.
Handle any legal disputes that may arise.
Ensure compliance with China regulations and U.S. federal securities laws and regulations.
Direct and manage outside lawyers and law firms hired to accomplish specific transactions and tasks when needed.
Job Specifications:
A respected member of the legal and business community and a current or recent general counsel in a publicly traded company; or a next level seasoned in-house counsel in a larger organization; or a senior associate/junior partner at a reputable law firm.
Law degree (JD) with more than 5 years experience in private law firm practice.
Reputation for honesty and integrity exemplified by a sterling character and high ethical standards.
Experience in corporate and U.S. securities law.
M&A and transactional experience.
Exceptional analytical abilities.
Superior writing and oral communication skills.
